PRODECCOR™ COLLECTIONS LICENSE AGREEMENT

Welcome to ProDECCOR™.

Our platform was created to provide professionals, companies, designers, printers, and creators with access to curated Design collections intended for decoration, visual communication, printing, wallcoverings, murals, artwork, and physical product production.

When purchasing a ProDECCOR™ collection, the Customer receives a commercial license allowing the use of properly downloaded files in projects and physical products, subject to the terms and limitations set forth in this Agreement.

Our goal is to provide a simple, secure, and transparent experience while clearly defining the Customer's rights to use the Designs, the conditions applicable to access and downloads, and the responsibilities of each party.

By completing a purchase, accessing the Members Area, downloading any file, or otherwise using the Designs, the Customer acknowledges that they have read, understood, and agreed to this Agreement.

2. NATURE OF THE PURCHASE

The purchase of a Collection does not constitute a sale, assignment, or transfer of intellectual property rights or copyright ownership in the Designs.

The purchase grants the Customer:

All copyright, intellectual property rights, authorship rights, and ownership rights in the Designs remain with ProDECCOR™, SpacePORT Digital LLC, and/or the applicable authors, designers, licensors, or rights holders.

3. LICENSE TO USE DOWNLOADED FILES

Files properly downloaded by the Customer during an authorized access period may continue to be used indefinitely, subject to the terms and restrictions of this Agreement.

The License is:

The expiration of access to the Platform does not prevent the Customer from continuing to use Files that were properly downloaded and stored while access was active.

4. PERMITTED USES

The Customer may use licensed Designs for the production and sale of physical products, including, without limitation:

The Designs may also be used to advertise and promote the Customer's own products and services.

The License allows commercial use of a Design when incorporated into a physical product, project, presentation, or authorized promotional material.

The License does not authorize the resale, redistribution, transfer, or commercialization of the original digital File itself.

5. ADVERTISING AND PROMOTIONAL USE

The Customer may use representations of the Designs and images of products created using the Designs in:

Such use is authorized solely for the presentation, promotion, marketing, or sale of the Customer's own products and services.

6. COLLECTION ACCESS AND DOWNLOAD PERIOD

Collections sold under ProDECCOR™'s standard offering generally include 12 months of download availability, equivalent to 365 days, beginning from the date on which access to the applicable purchase is activated.

During this period, the Customer may access the purchased Collection through the Members Area and download the Files they wish to retain.

The 12-month period refers to the period during which the Files remain available to that Customer through ProDECCOR™'s Platform for download.

Once this period expires, access to the Collection for additional downloads or re-downloads may be terminated.

It is important to distinguish between the period available for downloading Files and the License applicable to Files already downloaded.

The expiration of the download period does not terminate the License applicable to Files properly downloaded by the Customer while the Collection was available.

Accordingly:

The perpetual nature of the License applies to the use of properly downloaded Files.

It does not mean that ProDECCOR™ is required to maintain permanent access to those Files through its servers, Members Area, or download systems.

7. CUSTOMER RESPONSIBILITY FOR STORAGE AND BACKUP

While the Collection remains available, the Customer is encouraged to download the desired Files and maintain copies in their own storage environment.

Once a File has been downloaded, the Customer is responsible for properly storing and backing up that File.

The ProDECCOR™ Members Area is not intended to function as a permanent cloud-storage or personal backup service.

The Customer is responsible for:

After the applicable download period expires, ProDECCOR™ is not required to permanently maintain Files for re-download, replacement, restoration, or recovery.

8. OPTIONAL DOWNLOAD EXTENSIONS

In certain circumstances, ProDECCOR™ may make available to selected Customers the opportunity to purchase or receive an additional temporary Download Extension.

Download Extensions may currently include periods of:

These extensions constitute an additional commercial option separate from the Customer's original purchase.

8.1. Optional Availability

Download Extensions are optional and may be made available solely at ProDECCOR™'s commercial discretion.

ProDECCOR™ is not required to offer Download Extensions to every Customer, Collection, account, or purchase.

There is no guaranteed eligibility for any Download Extension.

The fact that an extension is offered, sold, or granted to one Customer does not create any obligation to provide the same extension, price, duration, or condition to another Customer.

ProDECCOR™ may make Download Extensions available to selected Customers regardless of whether similar extensions have previously been offered to other Customers.

The availability of a Download Extension in one situation does not create:

ProDECCOR™ may introduce, modify, suspend, limit, or discontinue Download Extensions at its commercial or operational discretion.

8.2. Individual Offers

Download Extensions may be made available individually through:

An extension may be offered without being part of a publicly available campaign or promotion.

An extension offered to a specific Customer does not create a right for any other Customer to receive the same offer.

8.3. Duration of Extensions

When offered and activated, a Download Extension provides an additional temporary period during which the Customer may download Files from the applicable Collection.

The applicable start and expiration dates may be shown in the offer, purchase confirmation, Members Area, or other official communication.

Unless otherwise expressly stated, the extension period will begin when the Download Extension is activated by ProDECCOR™.

8.4. Extension Limited to the Applicable Collection

A Download Extension applies only to the Collection, purchase, account access, or set of Files specifically identified in the applicable offer.

An extension applicable to one Collection does not automatically extend access to other Collections associated with the Customer's account.

8.5. Effect of Expiration

Once the Download Extension expires, access for new downloads or re-downloads may again be terminated.

Files properly downloaded during the extension remain subject to the same perpetual License applicable to Files downloaded during the original access period.

A Download Extension therefore changes only the temporary period during which Files may be downloaded.

It does not create permanent, lifetime, or unlimited access to the Platform.

9. DIFFERENCE BETWEEN DOWNLOAD ACCESS AND FILE USE

For clarity, this Agreement distinguishes between two separate rights.

9.1. Download Access

Download access means the temporary ability to obtain Files directly from ProDECCOR™ servers.

This right exists only while the applicable Collection access or Download Extension remains active.

9.2. File Use

File use means the Customer's ability to use a File that has already been properly downloaded.

Once a File has been properly downloaded during an authorized access period, that File may continue to be used indefinitely, subject to this Agreement.

Accordingly:

If the Customer does not download a particular File before the applicable access period expires, the perpetual License does not require ProDECCOR™ to keep that File permanently available for future download.

The perpetual right applies to the use of properly downloaded Files, not to permanent access to ProDECCOR™ servers.

10. PROHIBITION ON RESALE OR REDISTRIBUTION OF DIGITAL FILES

The Customer may not:

The Customer may not sell or distribute the original digital Design File itself.

11. DELIVERY TO END CUSTOMERS

The Customer may provide an end consumer with:

The Customer may not provide the original high-resolution File to an end consumer in a form that allows independent reuse, reproduction, redistribution, or printing.

12. ACCOUNT SHARING

Access to the Members Area is associated with the Customer responsible for the purchase.

The Customer may not share account credentials for the purpose of enabling unrelated individuals, companies, or third parties to access or download Files.

ProDECCOR™ may use reasonable technical, security, and account-management measures to identify unusual access patterns or activity inconsistent with normal account use.

13. AUTOMATION AND AUTOMATED DOWNLOADS

The use of automated systems to extract or download content from ProDECCOR™ is prohibited.

This includes, without limitation:

Downloads must be made through the official methods and functionality provided by ProDECCOR™.

14. ARTIFICIAL INTELLIGENCE AND DATASETS

Unless expressly authorized in writing by ProDECCOR™, the Files may not be used for:

ProDECCOR™ may make technical adjustments, corrections, updates, or modifications to Collections when reasonably necessary.

Where legally required, ProDECCOR™ may restrict or terminate permission to use a specific Design even if that Design was previously downloaded.

16. PLATFORM AVAILABILITY

ProDECCOR™ will use commercially reasonable efforts to maintain access to the Platform and Members Area.

Temporary interruptions may occur due to:

Temporary service interruptions do not automatically create a right to a Download Extension.

Where ProDECCOR™ considers it appropriate, an additional access period may be granted to compensate for a material service interruption.

17. PRINTING AND PRODUCTION RESULTS

The Files are developed for professional use.

However, final production results may vary depending on factors outside ProDECCOR™'s control, including:

ProDECCOR™ does not guarantee a specific production or printing result where such result depends on equipment, materials, processes, settings, or third parties controlled by the Customer.

18. INTELLECTUAL PROPERTY

All Designs remain protected by applicable copyright and intellectual property laws.

The License granted under this Agreement does not transfer:

Any rights not expressly granted to the Customer remain reserved.

19. LICENSE VIOLATIONS

A violation of this Agreement may result, depending on the nature and seriousness of the violation, in:

The perpetual nature of the License remains conditional upon continued compliance with the restrictions established in this Agreement.

20. REFUNDS AND CONSUMER RIGHTS

Refunds, cancellations, and related requests will be handled in accordance with:

Nothing in this Agreement is intended to exclude, waive, or restrict any mandatory consumer right that cannot lawfully be excluded or waived.

21. CHANGES TO THIS AGREEMENT

ProDECCOR™ may update this Agreement from time to time to reflect legal, technical, commercial, security, or operational changes.

Subsequent amendments will not retroactively eliminate a License properly obtained by the Customer, except where changes are required to comply with applicable law, court orders, intellectual property obligations, third-party rights, or to address a violation of this Agreement.

22. ELECTRONIC ACCEPTANCE

The Customer's completion of a purchase, electronic acceptance of these Terms, access to the Members Area, or download of Files constitutes electronic acceptance of this Agreement when these terms have been made reasonably available to the Customer.

Electronic acceptance will have the same effect as acceptance of a written agreement to the maximum extent permitted by applicable law.

23. GOVERNING LAW AND JURISDICTION

This Agreement, as well as any purchase, access, download, License, use of the Designs, or relationship arising from the ProDECCOR™ Platform, shall, to the maximum extent permitted by applicable law, be governed by and interpreted in accordance with the laws of the Federative Republic of Brazil.

For any controversy, claim, dispute, action, or legal proceeding arising from or relating to this Agreement, the Collections, the License granted herein, access to the Platform, downloads, or use of the Designs, the parties agree to submit to the jurisdiction of the courts of Brazil.

The selection of Brazilian law and Brazilian jurisdiction is intended to provide a consistent legal framework for ProDECCOR™'s contractual relationships, including transactions involving Customers located outside Brazil.

Nothing in this section shall prevent the application of mandatory consumer-protection laws, mandatory jurisdictional rules, or other rights that cannot lawfully be waived, excluded, or modified by contract under the laws applicable to a particular Customer.

24. GENERAL PROVISIONS

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Failure by ProDECCOR™ to immediately enforce any right or provision of this Agreement will not constitute a waiver of that right or provision.

This Agreement, together with the Privacy Policy and any specific commercial terms presented in connection with the applicable purchase, constitutes the agreement governing the Customer's access to and use of the applicable ProDECCOR™ Collections.

In the event of a conflict between a specific written commercial condition applicable to a particular purchase and a general provision of this Agreement, the specific commercial condition may govern that particular transaction, provided that it was clearly disclosed to the Customer.
